Agreement to Terms
By accessing or using PRISM services, you agree to be bound by these Terms of Use. If you do not agree to these terms, please do not use our services. These terms constitute a legally binding agreement between you and PRISM Health Technologies.
1. Definitions
In these Terms of Use:
- "PRISM," "we," "us," "our" refers to PRISM Health Technologies and its affiliates
- "Services" refers to the PRISM mobile application, web platform, and all related services
- "User," "you," "your" refers to individuals using PRISM as patients
- "Healthcare Provider" or "HCP" refers to doctors, clinics, hospitals, and other medical professionals using PRISM
- "Health Data" refers to vitals, medications, conditions, lab results, and other health-related information
2. Eligibility
To use PRISM Services, you must:
- Be at least 18 years of age, or have parental/guardian consent if younger
- Have the legal capacity to enter into a binding agreement
- Not be prohibited from using the Services under applicable laws
- Provide accurate and complete registration information
3. Account Registration and Security
3.1 Account Creation
You must create an account to access PRISM Services. You agree to provide accurate, current, and complete information during registration and to update such information as necessary.
3.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your login credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorised access
- Using strong passwords and enabling two-factor authentication where available
4. Use of Services
4.1 Permitted Use
You may use PRISM Services to:
- Record and track your personal health information
- View calculated health risk scores based on peer-reviewed algorithms
- Share your health data with healthcare providers with your consent
- Communicate with healthcare providers through the platform
- Integrate data from connected devices and health apps
4.2 Prohibited Use
You agree NOT to:
- Use the Services for any unlawful purpose
- Provide false or misleading health information
- Attempt to access another user's account or data
- Interfere with or disrupt the Services or servers
- Reverse engineer, decompile, or disassemble any part of the Services
- Use automated systems to access the Services without permission
- Resell, redistribute, or commercially exploit the Services
Important Medical Disclaimer
PRISM is a personal health management tool and a professional decision support tool for qualified physicians. It does NOT provide medical advice, diagnosis, or treatment. Risk scores are calculated using peer-reviewed algorithms for informational purposes only. Always consult qualified healthcare professionals for medical decisions and health related actions you take. In emergencies, contact emergency services immediately.
5. Health Data and Consent
5.1 Your Health Data
You retain ownership of your health data. By using PRISM, you grant us a limited licence to process your data solely to provide the Services as described in our Privacy Policy.
5.2 Consent Management
You control who can access your health data through our consent management system. You may grant, modify, or revoke consent at any time. Healthcare providers can only access data for which you have given explicit consent.
5.3 Data Accuracy
You are responsible for the accuracy of health data you enter. PRISM is not responsible for decisions made based on inaccurate data you provide.
6. Healthcare Provider Terms
Healthcare providers using PRISM agree to additional terms including:
- Maintaining appropriate professional licences and credentials
- Using patient data only for legitimate healthcare purposes
- Complying with all applicable healthcare regulations
- Respecting patient consent decisions
- Maintaining appropriate professional liability insurance
7. Fees and Payment
7.1 For Individual Users
Basic PRISM services for individual users may be free or subject to subscription fees as indicated in the app. Premium features may require additional payment.
7.2 For Healthcare Providers
Healthcare providers and clinics are subject to subscription fees based on their service agreement. Payment terms are specified in the applicable service contract.
7.3 Refunds
Refund policies are as specified in your subscription agreement or as required by applicable consumer protection laws.
8. Intellectual Property
PRISM and its licensors own all intellectual property rights in the Services, including:
- Software, algorithms, and source code
- Trademarks, logos, and brand elements
- User interface designs and content
- Documentation and training materials
You are granted a limited, non-exclusive, non-transferable licence to use the Services for their intended purpose.
9. Third-Party Integrations
PRISM integrates with third-party services including Apple Health, Google Fit, laboratory systems, and national health ID systems. Your use of these integrations is subject to the respective third party's terms of service. PRISM is not responsible for third-party services.
10. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING:
- Warranties of merchantability or fitness for a particular purpose
- Warranties that the Services will be uninterrupted or error-free
- Warranties regarding the accuracy of risk calculations
- Warranties regarding the availability of third-party integrations
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRISM SHALL NOT BE LIABLE FOR:
- Any indirect, incidental, special, or consequential damages
- Loss of data, profits, or business opportunities
- Medical decisions made based on information in the platform
- Actions or omissions of healthcare providers
- Third-party service failures or data breaches
Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim.
12. Indemnification
You agree to indemnify and hold harmless PRISM, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Services or violation of these Terms.
13. Termination
13.1 By You
You may terminate your account at any time through the app settings or by contacting support. Upon termination, you may request deletion of your data subject to legal retention requirements.
13.2 By PRISM
We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or as required by law. We will provide notice where practicable.
14. Dispute Resolution
Any disputes arising from these Terms shall be resolved through:
- Good faith negotiation between the parties
- Mediation by a mutually agreed mediator
- Binding arbitration in accordance with applicable arbitration rules
Nothing in this section prevents you from filing complaints with relevant regulatory authorities.
15. Changes to Terms
We may modify these Terms at any time. Material changes will be notified via email or in-app notification at least 30 days in advance. Continued use after changes take effect constitutes acceptance of the new Terms.
16. General Provisions
- Entire Agreement: These Terms constitute the entire agreement between you and PRISM
- Severability: If any provision is found unenforceable, the remainder remains in effect
- Waiver: Failure to enforce any right does not constitute a waiver
- Assignment: You may not assign these Terms; PRISM may assign them freely
- Governing Law: These Terms are governed by the laws of [Jurisdiction]
